TBD Health

Wisp, a women’s telehealth provider, has agreed to acquire sexual health company TBD Health. Financial terms of the transaction were not disclosed. The deal represents Wisp’s first acquisition and its initial expansion into enterprise-focused and hybrid care delivery models. As part of the transaction, the TBD Health brand will eventually be transitioned under the Wisp name.

TBD Health operates as a national hybrid sexual health and diagnostics platform. Its services combine routine testing for sexually transmitted infections and HIV with virtual clinical support. In addition to its digital offerings, the company provides access to in-person services through a network of partnerships. 

According to the information provided, tens of thousands of individuals are currently on TBD Health’s platform. Through the acquisition, the companies aim to further expand access to sexual health services, particularly for women, who remain underserved in access to pre-exposure prophylaxis, also known as PrEP.

“We found their capabilities and expertise really impressive when we thought about how do we accelerate our own B2B strategy,” said Monica Cepak, chief executive officer of Wisp.

PrEP utilization in the United States continues to reflect significant disparities across populations. Between 2019 and 2022, 94% of white individuals who could benefit from PrEP received a prescription. In comparison, PrEP was prescribed to 13% of Black individuals and 24% of Latino individuals who were eligible. Women account for approximately one-fifth of new HIV diagnoses nationwide, yet they represent a smaller share of those using PrEP. Wisp has not previously offered telePrEP services, while TBD Health has established virtual prescribing capabilities in this area.

Prior to the acquisition, the two companies had an existing working relationship. Wisp had previously engaged with TBD Health as a business-to-business customer. With the transaction, Cepak said she is interested in entering the hybrid care space, which she described as the direction the healthcare industry is moving toward. She also pointed to the fragmentation patients currently experience when navigating care across different settings.

TBD Health also announced its first hospital partnership with Mount Sinai. Additional health system partnerships are expected to be added this year. The company views health systems as core partners and positions itself as an extension of those systems by providing virtual care services. When appropriate, patients are referred to hospitals for in-person treatment. The approach is intended to reserve hospital utilization for higher-acuity needs while addressing lower-acuity care through digital channels.

Earlier in its development, TBD Health operated several brick-and-mortar clinics. Over time, the company transitioned away from owning physical locations and shifted to delivering in-person care through institutional partners. In addition to hospital collaborations, TBD Health works with organizations including the San Francisco AIDS Foundation and Planned Parenthood Direct. Cepak also indicated interest in future partnerships with standalone clinics.

Neither Wisp nor TBD Health accepts insurance. TBD Health uses its own in-house electronic health record system and is in the process of integrating with Cerner and Epic. Wisp reported that its platform has served 1.8 million patients to date and stated that it plans to pursue additional strategic mergers and acquisitions in the future.
